These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Coleman Sourcing Solutions LLC, a Wisconsin limited liability company doing business as MyFlipDesk ("MyFlipDesk," "we," "us," or "our"), governing your access to and use of the MyFlipDesk website at https://myflipdesk.com and the MyFlipDesk software-as-a-service application at https://app.myflipdesk.com (collectively, the "Services").

By creating an account, clicking "I agree," or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

1. Description of Services

MyFlipDesk is a software-as-a-service application that helps online resellers generate AI-powered product listings — including SEO-optimized titles, descriptions, and market-based pricing recommendations — for resale marketplaces such as Poshmark, eBay, Depop, Mercari, and Shopify. Users sign up for a free or paid account and submit product information (brand, model, condition, photos); MyFlipDesk uses third-party AI services to research the product and generate ready-to-publish listing content. Paid subscribers receive higher monthly generation quotas and optional Shopify store integration for direct publishing.

2. Eligibility and Account

2.1 Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that: (a) you are at least 18 years old; (b) you have the legal capacity to enter into these Terms; (c) you will comply with these Terms and all applicable laws; (d) you have not previously been suspended or removed from the Services; and (e) your use of the Services does not violate any applicable law or regulation in your jurisdiction.

2.2 Account Creation

To use the Services, you must create an account by providing a valid email address and password. You agree to: (a) provide accurate, current, and complete information; (b) maintain and update your account information; (c) maintain the security and confidentiality of your password; (d) notify us immediately of any unauthorized access to your account; and (e) accept responsibility for all activities under your account.

2.3 Email Verification

We may require you to verify your email address before granting full access to the Services. You consent to receive transactional emails from us related to your account, including verification, password reset, billing, and service notifications.

2.4 One Account Per Person

You may maintain only one account per person. We reserve the right to suspend or terminate duplicate accounts at our sole discretion.

3. Subscription Plans, Billing, and Refunds

3.1 Plans

We offer the following subscription tiers:

  • Free: Limited to 15 lifetime listings, no credit card required.
  • Starter: $9.99 per month, includes a monthly listing quota.
  • Pro: $19.99 per month, includes an expanded monthly listing quota.
  • VIP: Provisioned manually for select users; includes optional Shopify store integration.

We may change pricing, plan features, or quotas at any time. Changes to plans you are currently subscribed to will take effect on your next renewal date, and we will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

3.2 Billing

Paid subscriptions are billed monthly in advance through our third-party payment processor, Stripe, Inc. ("Stripe"). By providing payment information, you authorize us and Stripe to charge your payment method on a recurring basis until you cancel. You agree that Stripe — not MyFlipDesk — is the entity processing and storing your payment card information. We do not see, store, or have access to your full payment card number.

3.3 Auto-Renewal

Your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date. You may cancel at any time through the Stripe Customer Portal accessible from your account page.

3.4 No Refunds; Cancellation

All fees are non-refundable. If you cancel a paid subscription, you will retain access to paid features until the end of your current billing period; no prorated refund will be issued for partial periods. Free-tier usage is not refundable in any form.

3.5 Failed Payments

If a payment fails, we may suspend or downgrade your account until payment is current. We are not responsible for fees charged by your bank or card issuer in connection with failed payments.

3.6 Taxes

You are responsible for any sales, use, value-added, or similar taxes applicable to your subscription, except for taxes based on our income.

4. User Content

4.1 Your Content

You retain all rights, title, and interest in any content, data, or materials you submit to the Services — including product photos, product descriptions, brand and model information, internal SKUs, and any other inputs (collectively, "User Content").

4.2 License to MyFlipDesk

You grant MyFlipDesk a non-exclusive, worldwide, royalty-free, sublicensable license to copy, store, process, transmit, modify, and display your User Content solely for the purpose of operating, providing, maintaining, and improving the Services. This license terminates 30 days after you delete the relevant User Content or close your account, except as required for backup retention or to comply with legal obligations.

4.3 Your Representations

You represent and warrant that: (a) you own or have the necessary rights to all User Content you submit; (b) your User Content does not violate any third party's intellectual property, privacy, or publicity rights; (c) your User Content does not contain confidential information of any third party; (d) your User Content is not illegal, obscene, defamatory, or harmful; and (e) you have authority to grant the license in Section 4.2.

4.4 Backup and Retention

We perform routine backups but do not guarantee continuous backup or recovery of User Content. You are solely responsible for maintaining your own backups of any User Content important to you.

5. AI-Generated Content and User Responsibility

MyFlipDesk uses third-party artificial intelligence services (including Google Gemini AI with web search grounding) to generate listing content, including but not limited to product titles, descriptions, and market-based pricing recommendations ("AI Output"). You acknowledge and agree that:

(a) AI Output may be inaccurate, incomplete, biased, outdated, or otherwise unreliable, as such content is produced by automated systems drawing from publicly available information that may contain errors;

(b) You are solely responsible for reviewing, verifying, and editing all AI Output before publishing it to any marketplace, third-party platform, or other public destination;

(c) MyFlipDesk makes no warranty, express or implied, regarding the accuracy, completeness, currency, or fitness for any particular purpose of AI-generated pricing comparisons, product specifications, listing descriptions, or any other AI Output;

(d) MyFlipDesk shall not be liable for any losses, damages, lost sales, marketplace penalties, intellectual property claims, or other harm arising from your decision to publish AI Output without independent verification; and

(e) Your use of AI Output for the purpose of resale or marketplace publication is at your own risk, and you remain the publisher of record and party responsible for the accuracy and legality of all content you publish.

Due to the nature of artificial intelligence and machine learning, AI Output is not human and is not a substitute for human oversight. You must apply your own judgment before relying on or publishing AI Output.

6. Intellectual Property

6.1 Our Rights

The Services — including all software, source code, designs, text, graphics, logos, trademarks, and other content (excluding User Content and AI Output assigned to you under Section 6.3) — are the exclusive property of MyFlipDesk and its licensors. These materials are protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purpose as an online reseller. This license terminates automatically upon any breach of these Terms.

6.3 Output Ownership

Subject to your compliance with these Terms, MyFlipDesk assigns to you all right, title, and interest — if any — that MyFlipDesk may have in the AI Output generated specifically in response to your inputs. You acknowledge that AI Output may not be protectable as intellectual property under applicable law and that other users may receive substantially similar AI Output from similar inputs.

6.4 Trademarks

"MyFlipDesk" and the MyFlipDesk logo are trademarks of Coleman Sourcing Solutions LLC. You may not use these trademarks without our prior written consent. Poshmark, eBay, Depop, Mercari, Shopify, and other marketplace names are trademarks of their respective owners; MyFlipDesk is not affiliated with, endorsed by, or sponsored by any such marketplace.

7. Prohibited Conduct

You agree not to (and not to permit any third party to):

(a) reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying algorithms of the Services, except to the extent permitted by applicable law;

(b) use the Services to develop, train, or improve a competing product or service;

(c) use the Services to publish listings for counterfeit goods, illegal items, stolen property, or any item that infringes a third party's intellectual property rights;

(d) submit User Content that is false, misleading, defamatory, obscene, or otherwise unlawful;

(e) use automated means (bots, scripts, scrapers) to access the Services other than as expressly permitted;

(f) circumvent or attempt to circumvent any plan tier limits, usage caps, or other access controls;

(g) share, sell, transfer, or sublicense your account or account credentials to any third party;

(h) interfere with, disrupt, or impair the operation of the Services or any user's enjoyment of the Services;

(i) attempt to gain unauthorized access to any portion of the Services, other users' accounts, or any system, network, or data connected to the Services;

(j) introduce viruses, malware, or other malicious code into the Services;

(k) collect or harvest information about other users; or

(l) use the Services for any purpose that violates applicable law or regulation.

We may suspend or terminate your account at any time for any violation of this Section 7.

8. Third-Party Services

The Services integrate with third-party services including Stripe (payment processing), Google Gemini AI (content generation), Shopify (optional integration for VIP users), Supabase (data hosting and authentication), and HaveIBeenPwned (password security checks). Your use of any third-party service is subject to that third party's terms and privacy policy. MyFlipDesk is not responsible for, and disclaims all liability for, the acts or omissions of any third-party service provider.

9. Termination

9.1 Termination by You

You may terminate your account at any time by canceling your subscription through the Stripe Customer Portal and contacting us at hello@myflipdesk.com to request account deletion. We will delete your account and associated User Content within 30 days of receiving your request, subject to backup retention and legal obligations.

9.2 Termination by Us

We may suspend or terminate your account at any time, with or without notice, if we determine in our sole discretion that: (a) you have breached these Terms; (b) you have violated applicable law; (c) your account has been inactive for more than 12 months; (d) we are required to do so by legal process; or (e) we discontinue the Services in whole or in part.

9.3 Effect of Termination

Upon termination: (a) your right to access and use the Services ends immediately; (b) any fees paid are non-refundable; (c) we may delete your account, User Content, and AI Output without further notice; and (d) the provisions of these Terms that by their nature should survive termination (including Sections 5, 6, 12, 13, 14, 15, and 16) will survive.

10. Modifications to Service and Terms

10.1 Service Modifications

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

10.2 Terms Modifications

We may update these Terms from time to time. Material changes will be communicated by email to your registered email address at least 30 days before the changes take effect. Non-material changes (typographical corrections, clarifications) may be made without notice. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MYFLIPDESK DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

MYFLIPDESK DOES NOT WARRANT THAT: (a) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (b) ANY DEFECTS WILL BE CORRECTED; (c) AI OUTPUT WILL BE ACCURATE, CURRENT, OR FIT FOR ANY PURPOSE; (d) ANY THIRD-PARTY MARKETPLACE WILL ACCEPT LISTINGS PUBLISHED THROUGH THE SERVICES; OR (e) USE OF THE SERVICES WILL PRODUCE ANY PARTICULAR RESULT, INCLUDING SALES, INCOME, OR PROFIT.

NO ADVICE OR INFORMATION OBTAINED FROM MYFLIPDESK OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MYFLIPDESK, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUES, LOST SALES, LOSS OF DATA, LOSS OF GOODWILL, OR SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF MYFLIPDESK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MYFLIPDESK'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES WILL NOT EXCEED THE LESSER OF: (a) THE AMOUNT YOU PAID TO MYFLIPDESK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (b) ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless MyFlipDesk and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Services; (b) your User Content; (c) any AI Output you publish to a marketplace or third-party platform; (d) your violation of these Terms; (e) your violation of any third party's rights, including intellectual property, privacy, or publicity rights; or (f) your violation of any applicable law or regulation.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claims.

14. Time Limitation on Claims

ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED, NOTWITHSTANDING ANY LONGER STATUTE OF LIMITATIONS UNDER APPLICABLE LAW.

15. Dispute Resolution

15.1 Informal Negotiation

Before initiating any formal dispute, you and MyFlipDesk agree to attempt to resolve the dispute informally for at least thirty (30) days following written notice of the dispute. Written notice must be sent to MyFlipDesk by email to hello@myflipdesk.com and by mail to 1720 Buck Rub Road, Eau Claire, WI 54703. We will respond to your notice within 30 days. If the parties cannot resolve the dispute through informal negotiation within 30 days, either party may proceed to arbitration as described below.

15.2 Binding Arbitration

Except for the Excluded Disputes defined in Section 15.4, any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Services will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in the State of Wisconsin, United States, by one (1) arbitrator selected in accordance with the AAA rules. The arbitration will be conducted in the English language. The arbitrator's decision will be final and binding on both parties.

15.3 Arbitration Fees

If the arbitration fees would be substantially greater than the costs of litigation, MyFlipDesk will pay the portion of the arbitration fees that the arbitrator determines to be excessive.

15.4 Excluded Disputes

The following disputes are not subject to mandatory informal negotiation or arbitration: (a) any dispute seeking to enforce or protect, or concerning the validity of, either party's intellectual property rights; (b) any claim for injunctive or other equitable relief; and (c) any small claims action that may be brought in a court of competent jurisdiction in Eau Claire County, Wisconsin.

15.5 Class Action Waiver

YOU AND MYFLIPDESK AGREE THAT ANY ARBITRATION OR LITIGATION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY AND NOT ON A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE BASIS. NEITHER PARTY MAY ACT AS A CLASS REPRESENTATIVE OR PARTICIPATE AS A MEMBER OF A CLASS OF CLAIMANTS WITH RESPECT TO ANY CLAIM.

If this Section 15.5 is found to be unenforceable, the entirety of Section 15 will be null and void, but the remaining provisions of these Terms will remain in full force and effect.

16. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict-of-laws principles. For any dispute not subject to arbitration under Section 15, the parties consent to the exclusive jurisdiction of the state and federal courts located in Eau Claire County, Wisconsin.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and MyFlipDesk concerning the Services and supersede all prior or contemporaneous communications and proposals.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

17.3 Waiver

No waiver of any provision of these Terms will be effective unless in writing and signed by an authorized representative of MyFlipDesk. The failure to enforce any provision will not constitute a waiver of that or any other provision.

17.4 Assignment

You may not assign or transfer these Terms or any rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of all or substantially all of our assets, or similar transaction.

17.5 No Agency

Nothing in these Terms creates an agency, partnership, joint venture, employment, or franchise relationship between you and MyFlipDesk.

17.6 Force Majeure

MyFlipDesk will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, acts of war or terrorism, civil unrest, government action, labor disputes, internet or utility outages, or third-party service provider failures.

17.7 Electronic Communications

You consent to receive communications from MyFlipDesk electronically, including by email and through the Services. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing.

17.8 Export Compliance

You may not use the Services in violation of U.S. export control laws or regulations or any other applicable export laws. You represent that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services.

17.9 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.
